I have just taken on my 1st Ltd Co. in the IT industry and whilst i'm fine with accounts and corp. tax i am aware there are special rules relating to distributions/paye etc.

IR35 only relates to Ltd Cos and broadly is the same as employment status for determining employees/self employed people.
Your client needs a contract in place with their client that accurately reflects the working practices (that bit is essential) and that covers the areas that suggest the contractor is not an employee by any other name.
