Share valuation

Hi guys

I have a small limited company client that has three directors and they are all equal shareholders. Two of them are no longer active in the company - ie they're effectively retired.

The company has no real assets to give it any value, has only ever made a small profit and no dividends have been paid in the last ten years.

The 'active' director, who basically runs the operation, is looking at his options to effectively acquire the shares of the other two.

Has anyone been in or know of similar situations in which this has occurred? I'd be interested to know your thoughts on resolving the issue.
