Anti Poaching / Non-disclosure / Outsourcing Agreement

I have been approached by another accountant who is looking to oursource some of their client work to me and was wondering if anyone had any template contract agreements for this type of work to cover both parties as this is not something I have done before. Also is there anything else I should maybe bear in mind in this situation before taking the work on? I guess it is their insurance covering the work rather than my own?

The AAT have a sample subcontractors agreement in the MIP toolkit which covers all of this.Regards,
