CGT for non uk company

Hi there,

If a uk company want to transfer its shares to Non uk company ,at the end of day does Non uk company not need to pay CGT?

    If the non uk company is buying the shares of the uk co then this is simply an acquisition by an overseas company and no CGT needs to be paid until the shares are sold sometime in the future. This may well be taxed in the UK, overseas or both.

    The current shareholders will have to pay CGT on any gains they have made upto the point of sale to the non uk company. Although if this is a private company the gains are likely to be small and abosorbed by the current tax free limit in the region of about £8300 I think.

    If this is the case ideally the company/shares needs be valued by the accountants or auditors correctly so the tax man has some figures to rely on.
