how to deal with the fixed asses for a closed company and open a new company

Hello, Everyone,
I have a question, it is a little complicated. My friend used to run a small company. Only himself was a director. He has planned to close this company and run a new one as he has found more investors. He asked me to help him about the accounts issues .My questions are
1, if he closes his old company, how to deal with the fixed assess in the old company.
2, He wants to use fixed asses in the old company as a kind of fixed asses investment to the new company.
I am not sure how this works. Can any one advise please. Many thanks.
